Agreement to These Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and M&F Collaboration Inc. (“MNF Collaboration,” “Company,” “we,” “us,” or “our”).

We operate the MNF Collaboration website and related products, services, accounts, features, and content that reference these Terms (collectively, the “Services”).

By accessing or using the Services, creating an account, requesting a quote, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you should discontinue use of the Services.

The Services are intended for users who are 18 years of age or older.

1. Our Services

MNF Collaboration sells IT hardware and related technology products through its website and sales channels.

Products offered may include new, new factory-sealed, and refurbished equipment, including networking, collaboration, computing, storage, server, infrastructure, accessories, components, and related IT hardware.

Customers may use the Services to browse products, review available product information, request quotes, create accounts, place orders, and manage applicable transactions.

Customers accessing the Services from outside the United States are responsible for complying with applicable local laws and regulations.

2. Intellectual Property Rights

2.1 Our Content and Marks

Unless otherwise indicated, MNF Collaboration or its licensors own or have appropriate rights to the content available through the Services, including website design, software, databases, text, product-page content, graphics, photographs, videos, logos, trademarks, and other materials (“Content”).

Content is protected by applicable copyright, trademark, intellectual-property, and other laws.

Third-party product names, trademarks, logos, images, and other intellectual property remain the property of their respective owners.

2.2 Permitted Use

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for personal or legitimate internal business purposes.

You may not reproduce, distribute, modify, republish, commercially exploit, scrape, or otherwise use our Content without authorization except where permitted by applicable law.

2.3 Submissions

If you provide comments, suggestions, feedback, reviews, or other submissions, you represent that you have the right to provide that material and that it does not violate applicable law or third-party rights.

3. User Representations

By using the Services, you represent and agree that:

Information you provide is accurate, current, and complete.
You have legal capacity to enter into these Terms.
You are at least 18 years old.
You will use the Services only for lawful purposes.
You will not use the Services to engage in fraudulent or unauthorized activity.
You will not attempt to interfere with the security, operation, or functionality of the Services.
Your use of the Services will comply with applicable laws and regulations.

We may suspend or terminate an account or transaction where information provided is false, inaccurate, fraudulent, or materially incomplete.

4. User Accounts and Account Security

Certain features may require creation of a customer account.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You agree to provide accurate information and promptly update information when necessary.

If you believe your account or credentials have been compromised, contact MNF Collaboration immediately at support@mnfcollaboration.com.

We reserve the right to suspend or terminate accounts that are fraudulent, misused, or operated in violation of these Terms.

5. Order Verification

To protect customers and MNF Collaboration against unauthorized or fraudulent transactions, we may verify certain orders before processing or shipment.

Verification may be required for circumstances including:

High-value transactions
Billing and shipping address discrepancies
Payment verification issues
Unusual transaction activity
Orders flagged through fraud-prevention controls

We may contact the customer for additional information where reasonably necessary to verify an order.

Orders that cannot be successfully verified may be delayed or canceled. If a canceled order has already been charged, the applicable amount will be refunded in accordance with our payment and refund procedures.

6. Products, Specifications and Availability

MNF Collaboration makes reasonable efforts to provide accurate product descriptions, specifications, compatibility information, images, availability, and pricing.

Product images are provided for reference and may not always represent every revision, packaging variation, or configuration of a product.

Customers purchasing equipment for a specific technical environment are responsible for confirming compatibility and required specifications before ordering. Our sales team may assist with product information upon request.

All products are subject to availability.

Inventory availability may change without notice. We reserve the right to limit quantities, discontinue products, correct product information, or cancel orders where products become unavailable.

Product condition will be identified where applicable, including New, New Factory Sealed, or Refurbished.

7. Pricing, Purchases and Payment

Prices displayed on the website are stated in U.S. dollars unless otherwise indicated.

Customers agree to provide current, complete, and accurate billing, shipping, and payment information.

By submitting an order, you authorize MNF Collaboration and its authorized payment service providers to process payment for the total transaction amount, including applicable product charges, taxes, shipping charges, and other charges disclosed during checkout.

Payment transactions may be processed through Square or other authorized payment service providers.

Available payment methods may vary depending on the transaction, order value, customer account, and checkout options.

Pricing Errors

Although we make reasonable efforts to maintain accurate pricing, errors may occasionally occur.

If a material pricing error is identified before an order is processed or shipped, MNF Collaboration may cancel the affected order and issue a refund for amounts already collected.

Customers will be notified where an order is canceled because of a pricing or availability issue.

Order Acceptance

Submission of an order does not necessarily constitute final acceptance.

MNF Collaboration reserves the right to verify, accept, decline, limit, or cancel an order where reasonably necessary due to availability, pricing errors, payment issues, suspected fraud, verification requirements, or other legitimate business reasons.

8. Warranty Coverage

Warranty coverage depends on the condition in which the product is sold.

Unless otherwise stated on the applicable product listing, quotation, invoice, or written agreement, MNF Collaboration provides the following warranty coverage:

Refurbished Items

90-Day Return/Replacement Warranty

Refurbished products are covered for eligible hardware defects for 90 days from the original purchase date, subject to the applicable warranty and return conditions.

New Items

1-Year Return/Replacement Warranty

Products sold as New are covered for eligible hardware defects for one year from the original purchase date, subject to the applicable warranty and return conditions.

New Factory Sealed Items

1-Year Return/Replacement Warranty

Products sold as New Factory Sealed are covered for eligible hardware defects for one year from the original purchase date, subject to the applicable warranty and return conditions.

Where applicable, a New Factory Sealed product may also carry a manufacturer's warranty. Manufacturer warranty eligibility, duration, service procedures, and coverage are determined by the applicable manufacturer.

Warranty Exclusions

Warranty coverage applies to eligible hardware defects and does not cover damage or failure resulting from:

Physical damage
Misuse or abuse
Improper handling
Improper installation
Unauthorized modification or repair
Accidental damage
Environmental or electrical damage
Normal wear and tear
Use outside the product's intended specifications

Warranty eligibility may be subject to inspection and verification of the returned product.

For return eligibility, RMA requirements, refunds, replacements, exclusions, and procedures, please refer to the MNF Collaboration Return & Refund Policy.

9. Returns, Refunds and Replacements

Returns, refunds, and replacements are governed by the MNF Collaboration Return & Refund Policy, which is incorporated into these Terms by reference.

Customers should review the Return & Refund Policy before completing a purchase.

Among other requirements, eligible returns require an authorized Return Merchandise Authorization (RMA) before merchandise is returned.

Applicable return periods, refund eligibility, replacement eligibility, restocking charges, shipping responsibilities, defective-product procedures, and other return conditions are specified in the Return & Refund Policy.

10. Shipping and Delivery

Orders are shipped in accordance with the MNF Collaboration Shipping Policy.

Shipping methods, estimated processing times, delivery estimates, applicable shipping charges, international shipping conditions, and other delivery information are described in the Shipping Policy and, where applicable, during checkout.

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

Carrier delays, weather conditions, customs processing, supply constraints, holidays, and other circumstances outside MNF Collaboration's reasonable control may affect delivery.

Customers are responsible for providing complete and accurate shipping information.

11. Prohibited Activities

You may use the Services only for lawful purposes.

You may not:

Attempt unauthorized access to accounts, systems, servers, or networks.
Circumvent or interfere with website security features.
Introduce malware, viruses, spyware, or harmful code.
Use unauthorized bots, crawlers, scrapers, or automated data-extraction tools.
Misrepresent your identity or impersonate another person or organization.
Use fraudulent payment information.
Use the Services for illegal or unauthorized activities.
Copy or commercially exploit website Content without authorization.
Attempt to reverse-engineer software or systems associated with the Services.
Interfere with another customer's use of the Services.
Violate applicable local, state, federal, or international law.

We may restrict or terminate access where these requirements are violated.

12. Customer Reviews and User-Generated Content

Where customers are permitted to submit reviews, ratings, comments, or other content, submissions should reflect genuine experiences and must not contain unlawful, fraudulent, misleading, defamatory, threatening, discriminatory, obscene, or infringing material.

Customers may not submit reviews under a false identity or artificially manipulate ratings or reviews.

We reserve the right to moderate or remove content that violates these Terms or applicable law.

By submitting content for publication, you grant MNF Collaboration a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content in connection with our business and Services, subject to applicable law.

13. Third-Party Websites and Services

The Services may contain links to third-party websites, manufacturers, platforms, or other resources.

These links may be provided for convenience or informational purposes.

MNF Collaboration does not control third-party websites and is not responsible for their content, security, availability, privacy practices, or terms.

Your interaction with third-party services is governed by the applicable third party's policies and terms.

14. Privacy and Data

Our collection and use of personal information is governed by the MNF Collaboration Privacy Policy, which is incorporated into these Terms by reference.

The Privacy Policy explains how we collect, use, process, disclose, retain, and protect personal information.

By using the Services, you acknowledge our Privacy Policy.

15. Service Management

MNF Collaboration reserves the right, subject to applicable law, to:

Monitor use of the Services for compliance with these Terms.
Restrict or suspend access where these Terms are violated.
Remove unlawful or prohibited content.
Take reasonable action against fraudulent or abusive activity.
Modify, suspend, or discontinue website features.
Perform maintenance or security updates.

We may also take appropriate action where necessary to protect customers, our systems, our business, or third parties.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED UNDER OUR APPLICABLE PRODUCT WARRANTY TERMS, MNF COLLABORATION DISCLAIMS WARRANTIES REGARDING THE WEBSITE AND SERVICES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

Nothing in these Terms excludes warranties, remedies, or rights that cannot legally be excluded under applicable law.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MNF COLLABORATION AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MNF COLLABORATION'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO A TRANSACTION OR THESE SERVICES SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER TO MNF COLLABORATION IN CONNECTION WITH THE TRANSACTION OR EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations. Where applicable law provides additional rights, those rights remain unaffected.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless MNF Collaboration and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

Your unlawful use of the Services
Your material breach of these Terms
Your violation of applicable law
Your infringement of third-party rights
Fraudulent or harmful activity conducted through your account

We reserve the right to control the defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.

19. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to applicable conflict-of-law principles.

To the extent permitted by applicable law, legal proceedings arising from these Terms or the Services shall be brought in a court of competent jurisdiction in the State of Illinois.

Nothing in this section limits any rights that cannot legally be waived under applicable law.

20. Changes to These Terms

MNF Collaboration may update these Terms periodically to reflect changes in our Services, business practices, policies, or applicable legal requirements.

Updated Terms will be posted on this page with an updated effective or revision date where applicable.

Continued use of the Services following publication of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

21. Miscellaneous

These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, and other policies expressly incorporated by reference, constitute the applicable agreement governing your use of the Services.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

Failure to enforce any provision does not constitute a waiver of that provision or any other rights.

Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship between you and MNF Collaboration.

MNF Collaboration shall not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, severe weather, carrier disruptions, labor disputes, supply-chain interruptions, internet or telecommunications failures, governmental actions, or other force-majeure events.
